This Override Agreement (the “Agreement”) is entered into as of September 1, 2026 (the “Effective Date”) by and between:

• Empower1, 2091 Business Center Drive, Suite 215, Irvine, California 92612 (“Empower1”); and
• Market Pulse Consulting, an independent contractor represented by Austin Owens (“Market Pulse”).

1. Purpose

Empower1 operates a company-wide floor of independent affiliate desks in the United States and Mexico. Market Pulse provides origination, desk, and company-support services. This Agreement sets the fee Empower1 pays Market Pulse on every affiliate deal, in all cases, and replaces any prior arrangement under which Market Pulse received one hundred percent (100%) of Shield revenue on files originated as “Market Pulse” / owner originations.

2. Fee

Beginning on the Effective Date, Empower1 shall pay Market Pulse a company-wide override equal to one percent (1.00%) of True Debt Volume on any deal originated by any affiliate of Empower1, in all cases — every desk, every program, United States and Mexico.

“True Debt Volume” means the enrolled consumer debt amount on the file (the true debt), not Shield’s counted / grid volume, not the affiliate payout grid, and not Empower1’s Shield E1 purchase amount.

The override applies to any and all Empower1 affiliate companies and desks, without exception, including but not limited to Darlene B / Dez&Dan Inc, Evan team / Albatross Investment Group LLC (and Austin L, Casey B, Zach C), Gregory F / Greg Fisher Direct, Orlando L, Cesar I, Manny G, and files posted as Market Pulse. No affiliate, territory, or lead source is carved out unless a later writing signed by both parties says so.

The override is due on the same Empower1 affiliate pay calendar as the period in which the file’s first payment clears (currently the 1st and 15th cycles for US first-clears, and the weekly cycle for Mexico). NSF, cancel, or claw after first-clear is handled on the same claw rules as the rest of the floor.

3. Independent contractor

Market Pulse is an independent contractor. Nothing in this Agreement creates employment, partnership, joint venture, or an agency of Empower1, Campaign Connect, Harmonee, Shield, or any affiliate desk. Market Pulse is responsible for its own taxes, insurance, and licenses.

4. Prior deal

As of the Effective Date, any prior practice of wiring Market Pulse one hundred percent (100%) of Shield revenue on owner-originated files is terminated. Every affiliate deal that first-clears, company-wide, pays the one percent (1.00%) True Debt Volume override only, unless a later writing says otherwise.

5. Term and termination

This Agreement begins on the Effective Date and continues until terminated by either party on thirty (30) days’ written notice, or immediately for material breach that is not cured within ten (10) days of notice. Fees earned on files that first-cleared before the termination date remain payable.

6. Records

Empower1 will keep a period invoice showing True Debt Volume, file count, and the 1.00% amount. Market Pulse may inspect those records on reasonable notice.

7. Electronic signature

The parties agree that a typed name submitted on this page is an electronic signature under the federal ESIGN Act and the California Uniform Electronic Transactions Act. It has the same force as ink. The record of who signed, when, and from which login is stored with this Agreement.

8. Governing law

California law governs. Venue is Orange County, California.

9. Entire agreement

This is the entire agreement on the company-wide override. It may be changed only in a writing signed by both parties. If a court strikes a clause, the rest stays in force.
